1. Our services
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or would subject us to any registration requirement. Those who access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.
The Services are not tailored to comply with industry-specific regulations (such as HIPAA or FISMA), so if your interactions would be subject to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).
2. Intellectual property rights
Our intellectual property
We are the owner or licensee of all intellectual property rights in the Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (the 'Content'), and the trademarks, service marks, and logos in them (the 'Marks'). They are protected by copyright and trademark laws and treaties in the United States and around the world, and are provided 'AS IS' for your personal, non-commercial use or internal business purpose only.
Your use of our services
Subject to your compliance with these Legal Terms, including the prohibited activities section, we grant you a non-exclusive, non-transferable, revocable licence to access the Services and to download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use or internal business purpose.
Except as set out here, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission. To request permission, write to help@quaverley.com. If we grant permission to post, reproduce, or publicly display any part of the Services or Content, you must identify us as the owners or licensors and ensure any copyright or proprietary notice remains visible.
We reserve all rights not expressly granted to you. Any breach of these intellectual property rights is a material breach of these Legal Terms, and your right to use the Services terminates immediately.
Your submissions
By sending us any question, comment, suggestion, idea, feedback, or other information about the Services ('Submissions'), you agree to assign to us all intellectual property rights in the Submission. We own the Submission and may use and disseminate it for any lawful purpose, commercial or otherwise, without acknowledgement or compensation.
You are responsible for what you post or upload. By sending a Submission through any part of the Services, you confirm that you have read and agree with the prohibited activities section and will not send anything illegal, harassing, hateful, harmful, defamatory, obscene, bullying, abusive, discriminatory, threatening, sexually explicit, false, inaccurate, deceitful, or misleading; you waive any moral rights to the Submission to the extent permitted by law; and you warrant that the Submission is original to you, or that you have the necessary rights and licences, and that it is not confidential information. You are solely responsible for your Submissions and agree to reimburse us for losses caused by your breach of this section, of any third party's intellectual property rights, or of applicable law.
3. User representations
By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain its accuracy and promptly update it; (3) you have the legal capacity and agree to comply with these Legal Terms; (4) you are not a minor in your jurisdiction; (5) you will not access the Services through automated or non-human means, such as a bot or script; (6) you will not use the Services for any illegal or unauthorised purpose; and (7) your use will not violate any applicable law or regulation.
If you provide information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse current or future use of the Services.
4. User registration
You may be required to register to use the Services. You agree to keep your password confidential and are responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine it is inappropriate, obscene, or otherwise objectionable.
5. Purchases and payment
We accept the following forms of payment: Visa, Mastercard, and PayPal, and payment through the App Store or Google Play where available.
You agree to provide current, complete, and accurate purchase and account information, and to promptly update it, including your email address, payment method, and card expiry date, so we can complete your transactions and contact you as needed. Sales tax will be added to purchases as required. We may change prices at any time.
Prices are shown in the currency for your region and the currency and amount are confirmed at checkout before you pay. You agree to pay all charges at the prices then in effect, and you authorise us to charge your chosen payment provider on placing your order. We reserve the right to correct pricing errors, even after a payment has been requested or received.
We may refuse any order, and may limit or cancel quantities purchased per person, per household, or per order, including orders under the same customer account, payment method, or billing or shipping address. We may prohibit orders that appear to be placed by dealers, resellers, or distributors.
6. Subscriptions
Billing and renewal
Your subscription continues and renews automatically unless cancelled. You consent to us charging your payment method on a recurring basis without prior approval for each charge, until you cancel. The length of the billing cycle depends on the plan you chose when you subscribed.
Free trial
We offer a 7-day free trial to new users who register with the Services. Subscribing on the web extends your free period to 30 days in total, counted from the day you signed up. The account will be charged according to the chosen subscription when the free trial ends, where a card has been provided.
Cancellation
All purchases are non-refundable. You can cancel your subscription at any time by logging into your account. Your cancellation takes effect at the end of the current paid term. If you have questions or are unsatisfied, email us at help@quaverley.com.
Fee changes
We may change the subscription fee from time to time and will communicate price changes in accordance with applicable law.

Eigencode Ltd and you both agree to submit to the non-exclusive jurisdiction of the courts of England, which means you may bring a claim to defend your consumer protection rights in England, or in the EU country in which you reside.
19. Dispute resolution
Informal negotiations
To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms brought by either you or us, the parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating arbitration. Such negotiations begin upon written notice from one party to the other.
Binding arbitration
Any dispute arising from the relationships between the parties shall be determined by one arbitrator chosen in accordance with the Arbitration and Internal Rules of the European Court of Arbitration, part of the European Centre of Arbitration, having its seat in Strasbourg, in force at the time the application is filed, and of which adoption of this clause constitutes acceptance. The seat of arbitration shall be London, England. The language of the proceedings shall be English. The applicable rules of substantive law shall be the law of England.
Restrictions
The parties agree that any arbitration is limited to the dispute between the parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any dispute to be arbitrated on a class-action basis or to use class action procedures; and (c) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
Exceptions
The following disputes are not subject to informal negotiations or binding arbitration: (a) any dispute seeking to enforce or protect, or concerning the validity of, any intellectual property rights of a party; (b) any dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorised use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither party will elect to arbitrate any dispute falling within that portion, and such dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the parties agree to submit to the personal jurisdiction of that court.

NOTWITHSTANDING ANYTHING TO THE CONTRARY, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING. CERTAIN US STATE LAWS AND INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.
23. Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable legal fees, made by any third party due to or arising out of: (1) your use of the Services; (2) breach of these Legal Terms; (3) any breach of your representations and warranties; (4) your violation of the rights of a third party, including intellectual property rights; or (5) any overt harmful act toward any other user of the Services with whom you connected. You agree that we shall have no liability for any loss or corruption of such data, and you waive any right of action against us arising from it.
25. Electronic communications, transactions, and signatures
Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communication be in writing. 27. Miscellaneous
These Legal Terms and any policies or operating rules posted on the Services constitute the entire agreement between you and us. Our failure to exercise or enforce any right or provision shall not operate as a waiver of it. These Legal Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision is determined to be unlawful, void, or unenforceable, that provision is severable and does not affect the remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Legal Terms or use of the Services.
